Zentrix Talent Solutions Ltd operates as both: • An Employment Agency — introducing candidates to clients for permanent employment • An Employment Business — supplying temporary workers to clients We operate in accordance with the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003.

By registering with Zentrix, candidates agree to: • Provide accurate, complete and up-to-date information including right-to-work documentation • Notify us promptly of any changes to their circumstances, availability or employment • Not accept a position introduced by Zentrix while circumventing the agency relationship • Consent to us processing their personal data for recruitment purposes in accordance with our Privacy Policy

Clients agree to: • Provide accurate and complete vacancy information including role requirements, working conditions and pay • Notify Zentrix of any offer made to a candidate introduced by Zentrix, whether temporary or permanent • Pay agreed fees within 30 days of invoice • Comply with all relevant employment legislation including the Equality Act 2010, National Minimum Wage legislation and IR35 obligations • Not engage any Zentrix-introduced candidate directly within 12 months without paying the agreed introduction fee

Our fee structure is available on request and confirmed in writing before any assignment commences. • Permanent placements: Fees are calculated as a percentage of the candidate's first-year gross salary • Temporary staffing: Charge rates include the worker's pay, employer's National Insurance, holiday pay, and our margin • IT Consulting: Rates are agreed on a per-engagement basis All fees are subject to VAT at the prevailing rate.

Zentrix Talent Solutions Ltd acts solely as an independent education broker, connecting prospective international students with accredited UK universities and colleges. • We do not provide regulated immigration advice, visa guidance, or legal counsel • We accept no responsibility for visa decisions, immigration outcomes, or university admissions decisions • Students are strongly advised to seek independent advice from an OISC-registered immigration adviser for all UK visa matters • Our education brokerage services are provided in good faith and on a best-efforts basis

• Zentrix's total liability to any client or candidate is limited to the fees paid for the relevant service in the 12 months preceding the claim • We are not liable for any indirect, consequential, special or punitive losses • We make no warranties about the suitability, fitness for purpose or availability of any candidate or vacancy • Nothing in these terms limits liability for fraud, personal injury caused by negligence, or any liability that cannot be excluded by law

We process personal data in accordance with UK GDPR and our Privacy Policy, available at zentrixtalent.co.uk/privacy-policy. By using our services, you acknowledge and consent to such processing.

All content on zentrixtalent.co.uk — including text, logos, graphics and code — is the property of Zentrix Talent Solutions Ltd or its licensors and is protected by UK and international copyright law. You may not reproduce or distribute any content without our prior written consent.

These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to update these terms at any time. The current version is always available at zentrixtalent.co.uk/terms-and-conditions. Continued use of our services after changes constitutes acceptance of the revised terms.
